MeshStack End-User License Agreement

“MeshStack” means the MeshStack™ client applications, server components, SDKs, APIs, libraries, firmware, documentation, and any updates thereto, made available by THOX.ai LLC for iOS, Android, macOS, Windows, and associated platforms. “You” means the individual or legal entity accepting this Agreement. Additional terms (e.g. Coordinator, Inference Node, Lead Device,Anchor, Origin) carry the meanings given in the MeshStack privacy model. Counsel review

Subject to Your continuous compliance with this Agreement, THOX.ai grants You a personal, limited, revocable, non-exclusive, non-transferable, non-sublicensable license to install and use MeshStack on devices that You own or control, solely for Your internal use of the MeshStack inference fabric and only in accordance with the documentation. No other rights or licenses are granted by implication, estoppel, or otherwise. Counsel review

You shall not, and shall not permit any third party to: (a) copy, modify, or create derivative works of MeshStack; (b) rent, lease, lend, sell, sublicense, distribute, publish, transfer, or otherwise make MeshStack available to any third party; (c) reverse engineer, disassemble, decompile, decode, or otherwise attempt to derive the source code, algorithms, data structures, or underlying ideas of any MeshStack software, firmware, protocol, or service, except to the limited extent that applicable law expressly permits despite this restriction; (d) circumvent or attempt to circumvent any technical or licensing limitations of MeshStack, including tier gating, seat limits, or rate limits; (e) use MeshStack to build a competing product or service; (f) use MeshStack in a manner that violates the privacy contract or that exposes plaintext to any THOX.ai-operated component; or (g) remove or alter any proprietary notices, marks, or identifiers contained in MeshStack. You acknowledge that MeshStack — including the inference-fabric architecture, the role taxonomy, the Coordinator-without-plaintext design, peer-discovery and key-distribution protocols, model-routing logic, performance characteristics, benchmark methodology, and all non-public technical materials — is the confidential and proprietary information of THOX.ai LLC and constitutes trade secrets. You shall maintain such information in strict confidence and shall not disclose, publish, or use it except as expressly permitted by this Agreement. Counsel review

MeshStack, all copies and portions thereof, and all intellectual property rights therein are and shall remain the exclusive property of THOX.ai LLC and its licensors. If You provide THOX.ai with any suggestions, comments, or other feedback regarding MeshStack (“Feedback”), THOX.ai may use such Feedback for any purpose without obligation to You, and You hereby grant THOX.ai a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, modify, and distribute the Feedback. You shall not use MeshStack: (a) in violation of any applicable law or regulation; (b) to infringe the intellectual property rights of any third party; (c) to transmit malware, spyware, or other malicious code; (d) to attempt to gain unauthorized access to any system, account, or mesh that You are not authorized to access; (e) to conduct security testing, penetration testing, or vulnerability research against THOX.ai infrastructure without prior written authorization; or (f) for any purpose for which MeshStack is not designed or documented. THOX.ai may, at its discretion, release updates, upgrades, or modifications to MeshStack and may add, change, or remove features at any time. THOX.ai may also modify this Agreement from time to time; the updated Agreement will be posted at thox.ai/terms/meshstack with a revised “Last updated” date. Your continued use of MeshStack after such posting constitutes acceptance of the modified Agreement. Counsel review

This Agreement is effective until terminated. THOX.ai may terminate this Agreement immediately upon notice if You breach any provision. Upon termination, all rights granted to You shall immediately cease, and You shall promptly cease all use of MeshStack and destroy all copies in Your possession or control. Sections 3, 4, 5, 9, 10, 11, and any other provisions that by their nature survive shall survive termination. Counsel review

MeshStack is provided “as is” and “as available” without warranty of any kind. THOX.ai disclaims all warranties, whether express, implied, statutory, or otherwise, including without limitation any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. To the maximum extent permitted by applicable law, in no event shall THOX.ai or its licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business interruption, arising out of or relating to this Agreement or MeshStack, even if THOX.ai has been advised of the possibility of such damages. This Agreement shall be governed by and construed in accordance with the laws of the State of [Jurisdiction TBD], without regard to its conflict-of-laws principles. Any dispute arising out of or relating to this Agreement shall be resolved exclusively in the state or federal courts located in [Venue TBD], and the parties consent to the personal jurisdiction of such courts. Donenfeld; MeshStack is built on the WireGuard® protocol but is an independent THOX.ai product and is not endorsed by, sponsored by, or affiliated with the WireGuard project. All other trademarks are the property of their respective owners. Use of THOX.ai trademarks without prior written authorization is strictly prohibited.
